1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of services provided by Crescent Estates and access to our website. By engaging our services or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website.

We reserve the right to modify these Terms at any time. Changes will be effective when posted on our website with an updated revision date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

2. Definitions

For purposes of these Terms:

• "We," "Us," "Our," or "Crescent Estates" refers to Crescent Estates, its employees, agents, and authorized representatives.
• "Client," "You," or "Your" refers to the individual or entity engaging our services.
• "Services" refers to residential search, placement, and related consulting services provided by Crescent Estates.
• "Agreement" refers to these Terms together with any service engagement letter or contract.
• "Property" refers to residential accommodations presented through our services.

3. Eligibility and Capacity

Our services are available only to individuals who are at least 18 years of age and possess the legal capacity to enter into binding contracts under applicable law. By using our services, you represent and warrant that you meet these eligibility requirements.

If you are engaging our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Service Description

Crescent Estates provides professional residential search and placement services in Taiwan. Our services include, but are not limited to:

• Consultation regarding residential requirements
• Property identification and presentation
• Viewing coordination
• Lease review and negotiation support
• Documentation facilitation
• Post-placement client support

Specific services provided depend on the service level selected. We reserve the right to modify our service offerings at any time.

5. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information about your requirements and circumstances
• Respond promptly to communications and requests for information
• Attend scheduled property viewings or provide reasonable notice of inability to attend
• Review all property information and lease documents carefully
• Make independent decisions regarding property selection and lease execution
• Comply with all lease terms and obligations once executed
• Notify us promptly of any material changes in your circumstances or requirements

6. Service Fees and Payment

Service fees are specified in our service descriptions and confirmed in writing upon service engagement. Fees are based on the service level selected and are payable according to the following terms:

• Foundation Access: TWD 21,000
• Enhanced Portfolio: TWD 77,000
• Premier Collection: TWD 133,500

Payment is typically due upon successful lease execution, unless alternative arrangements have been agreed in writing. All fees are stated in Taiwan Dollars (TWD) and are exclusive of any applicable taxes.

Failure to pay fees when due may result in suspension of services and pursuit of collection through legal means, including recovery of collection costs and reasonable attorney fees.

7. Refund Policy

Service fees are generally non-refundable once services have commenced. However, we may consider refund requests in the following circumstances:

• Cancellation prior to commencement of property search activities
• Our inability to provide services as described due to circumstances within our control

Refund requests must be submitted in writing to [email protected]. Refund decisions are made at our discretion based on the specific circumstances.

8. Disclaimers and Limitations

Our services are provided on an "as is" basis. While we make reasonable efforts to provide accurate information and competent professional service, we make no warranties or representations regarding:

• The availability of specific properties
• Property owner decisions regarding lease approval
• Property condition beyond our verification scope
• Future property or neighborhood conditions
• Your satisfaction with properties or landlord relationships

We are consultants and advisors only. Final decisions regarding property selection and lease execution rest with you. We are not responsible for your decisions or their consequences.

9. Limitation of Liability

To the maximum extent permitted by law, Crescent Estates' total liability for any claims arising from or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim.

We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost opportunities, or damages resulting from property conditions, landlord actions, or lease disputes.

Nothing in these Terms excludes liability for fraud, gross negligence, or violations of consumer protection laws where such exclusions are prohibited.

10. Indemnification

You agree to indemnify, defend, and hold harmless Crescent Estates, its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of our services
• Your breach of these Terms
• Your violation of applicable laws or regulations
• Your lease obligations or disputes with property owners
• Inaccurate or incomplete information provided to us

11. Intellectual Property

All content on our website and in our materials, including text, graphics, logos, images, and software, is the property of Crescent Estates or its licensors and is protected by intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without express written permission. You may view and print content for your personal, non-commercial use only.

12. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the service relationship. This obligation continues for three years following termination of services.

Confidential information does not include information that: is publicly available, was known prior to disclosure, is independently developed, or is required to be disclosed by law.

13. Termination

Either party may terminate the service relationship with written notice. Upon termination:

• You remain responsible for fees for services already provided
• We will return your documents and materials within a reasonable time
• Confidentiality obligations continue
• Certain provisions of these Terms survive termination

14. Dispute Resolution and Governing Law

These Terms are governed by the laws of Taiwan, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.

Before pursuing formal legal action, parties agree to attempt good-faith informal resolution of disputes through direct communication.

15. General Provisions

Entire Agreement: These Terms, together with any service engagement letter, constitute the entire agreement between parties and supersede all prior agreements or understandings.

Severability: If any provision is found unenforceable, remaining provisions continue in full effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations with notice to you.

Force Majeure: Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, government actions, or other force majeure events.

Notices under these Terms must be in writing and delivered to:
